Terms of Service

1. Eligibility

Edem AI is intended exclusively for users who are 18 years of age or older. By using the Service, you represent and warrant that:

• You are at least 18 years old
• You are legally permitted to view adult-oriented content in your jurisdiction
• You have the legal capacity to enter into a binding agreement
• Your use of the Service does not violate any applicable law or regulation

If we discover or reasonably suspect that a user is under 18, we will immediately terminate their account and delete associated data.

2. Nature of the Service

Edem AI is an AI-powered entertainment platform that provides fictional character interactions, AI-generated media, and related features. By using the Service, you acknowledge that:

• All characters, conversations, and generated content are entirely fictional and AI-generated
• You are interacting with artificial intelligence, not real people
• AI responses may be inaccurate, incomplete, repetitive, or unexpected
• Content generated by the AI does not constitute professional, medical, legal, financial, or psychological advice
• The quality and nature of AI outputs may vary and are not guaranteed

3. Account Registration and Security

To access certain features, you must create an account using email or a third-party provider (Google or Discord). You are responsible for:

• Providing accurate and complete registration information
• Maintaining the confidentiality of your login credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorized access

You may not share, sell, or transfer your account to another person. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Coins and Virtual Currency

Edem AI uses an in-platform virtual currency called "Coins." Coins are required to access certain features, including sending chat messages, generating images and videos, and unlocking premium content.

• Coins have no real-world monetary value and cannot be exchanged for cash or any other form of currency
• Coins are non-transferable between accounts
• Purchased Coins are non-refundable except where required by applicable law
• Free and bonus Coins granted by the platform (e.g., sign-up bonus, subscription rewards) may be subject to expiry or clawback at our discretion
• When Coins are spent, the deduction order is: free Coins first, then bonus Coins, then purchased Coins
• We reserve the right to modify Coin pricing, earning rates, and spending costs at any time with reasonable notice

5. Subscriptions and Billing

Edem AI offers subscription plans that provide recurring Coin allocations and additional benefits. By purchasing a subscription:

• You authorize us to charge the payment method on file at the start of each billing cycle
• Subscriptions renew automatically unless cancelled before the end of the current billing period
• Cancellation takes effect at the end of the current paid period; you retain access until then
• No partial refunds are given for unused portions of a billing period
• Free trial periods, if offered, convert to paid subscriptions unless cancelled before the trial ends
• We may change subscription pricing with at least 30 days' notice; continued use constitutes acceptance

Payments are processed by third-party providers (Stripe or Paddle). We do not store your full payment card details. All payment disputes should be directed to us at support@edemai.org before initiating a chargeback.

6. One-Time Coin Purchases

In addition to subscriptions, you may purchase Coin packs as one-time transactions. These purchases are:

• Final and non-refundable once delivered to your account
• Non-transferable to other users or accounts
• Subject to the same usage rules as subscription Coins

7. Refund Policy

All purchases on Edem AI are final and non-refundable.

This includes, without limitation:

• Subscription payments (weekly, monthly, or quarterly plans)
• One-time Coin pack purchases
• Coins that have been spent on chat messages, image generation, video generation, or content unlocks
• Unused Coins remaining in your account
• Remaining time on an active subscription after cancellation

We do not offer refunds for dissatisfaction with AI-generated content, service quality, or any other subjective reason. By making a purchase, you acknowledge that digital goods and virtual currency are delivered immediately and you waive any right of withdrawal upon delivery.

Exceptions may apply only where required by mandatory consumer protection laws in your jurisdiction. If you believe you are entitled to a legally mandated refund, contact us at support@edemai.org with details of your claim.

Initiating a chargeback or payment dispute without first contacting us may result in immediate and permanent account termination, forfeiture of all Coins and content, and a ban from future use of the Service.

8. AI-Generated Content

The Service allows you to generate AI-powered content, including text conversations, images, and videos. Regarding this content:

• AI-generated outputs ("AI Output") are provided for personal, non-commercial use only unless otherwise agreed
• AI Output may not be unique and similar content may be generated for other users
• We make no guarantees regarding the quality, accuracy, or appropriateness of AI Output
• You may not use AI Output to create deepfakes, impersonate real individuals, or for any illegal purpose
• We may process, store, and analyze AI interactions to operate, improve, and ensure the safety of the Service

9. 18 U.S.C. § 2257 Exemption

All visual content appearing on or accessible through Edem AI, including but not limited to images, videos, and character depictions, is generated entirely by artificial intelligence (AI). No real human beings were involved in the creation, production, or depiction of any visual content on this platform.

Because all content is computer-generated and does not involve actual human performers, the record-keeping requirements of 18 U.S.C. § 2257 and 28 C.F.R. Part 75 do not apply to Edem AI or Edem AI LLC.

• All visual content on Edem AI is 100% AI-generated
• No real persons, actors, or models are depicted in any content
• No photographs or videos of actual human beings are produced through the Service
• All characters are entirely fictional and do not represent real individuals
• The platform does not produce, host, or distribute content involving actual human performers

Although exempt from 18 U.S.C. § 2257 record-keeping requirements, Edem AI is fully committed to prohibiting any content depicting or involving minors (see Section 12 of our Privacy Policy), enforcing strict age verification, and maintaining comprehensive content moderation (see Section 12 below).

10. Creator Program

Edem AI allows users to create AI characters and earn revenue when other users interact with those characters ("Creator Program"). If you participate:

• You must comply with all content guidelines and these Terms when creating characters
• Earnings are calculated based on platform-determined revenue share percentages, which may change
• Payouts are processed monthly and are subject to minimum payout thresholds
• Available payout methods include PayPal, bank wire, and cryptocurrency
• If a chargeback is filed by an end user, the corresponding creator earnings may be clawed back
• We reserve the right to reject, remove, or delist any character at our discretion
• You retain ownership of original character concepts you create, but grant us a worldwide, royalty-free license to host, display, and distribute your character content on the platform

11. Affiliate Program

Edem AI offers an affiliate program that allows approved participants to earn commissions by referring new paying users. By joining the Affiliate Program, you agree to the following terms.

11.1 Eligibility

• You must be at least 18 years old
• You must have a valid Edem AI account in good standing
• You must submit an affiliate application and be approved by our team
• Approval is at our sole discretion and may be denied without explanation
• Employees, contractors, and immediate family members of Edem AI LLC are not eligible

11.2 Commission Structure

Affiliates earn commissions on qualifying purchases made by referred users. Our commission tiers are:

Tier upgrades are based on performance metrics determined by us and may be adjusted at any time.

11.3 Referral Tracking

• Referrals are tracked via a unique affiliate link provided to you
• A 30-day cookie is placed on the referred user's device when they click your link
• You receive credit for purchases made within that 30-day window
• If a user clears their cookies or uses a different device, the referral may not be tracked
• The "last click" model applies — if a user clicks another affiliate's link after yours, that affiliate receives credit
• Self-referrals (referring your own accounts) are prohibited and will result in termination

11.4 Qualifying Purchases

Commissions are earned on:

• Subscription purchases (weekly, monthly, quarterly plans)
• One-time Coin pack purchases
• Recurring subscription renewals (commissions are recurring for the lifetime of the referred user's subscription)

Commissions are not earned on free sign-ups, bonus Coins, or purchases that are subsequently refunded or charged back.

11.5 Payment Terms

• Payouts are processed monthly, within 30 days of the end of each calendar month
• A minimum payout threshold applies (as displayed in your affiliate dashboard)
• If your balance is below the minimum threshold, it rolls over to the next month
• Available payout methods: PayPal, bank wire transfer, or cryptocurrency (subject to availability)
• You are responsible for all taxes on affiliate earnings in your jurisdiction
• We may require tax documentation (e.g., W-9, W-8BEN) before processing payouts

11.6 Prohibited Practices

Affiliates must not:

• Use spam, unsolicited emails, or bulk messaging to promote their affiliate link
• Make false, misleading, or deceptive claims about Edem AI, its features, or earnings potential
• Bid on the "Edem AI" brand name or variations in paid search (PPC) advertising
• Use cookie stuffing, ad injection, or other fraudulent tracking methods
• Create fake accounts, self-refer, or generate artificial traffic
• Promote Edem AI to minors or on platforms where minors are the primary audience

11.7 Chargebacks

If a referred user's purchase is refunded or charged back, the corresponding commission will be deducted from your affiliate balance. If your balance is insufficient, the amount will be deducted from future earnings. Excessive chargebacks from your referrals may result in investigation and potential termination of your affiliate account.

11.8 Termination and Modifications

• By you — You may leave the program at any time; earned commissions above the minimum threshold will be paid out
• By us — We may terminate your affiliate account for policy violations, inactivity, fraud, or at our discretion
• Upon termination for cause (policy violations), all unpaid commissions are forfeited
• Upon termination without cause, earned commissions will be paid according to normal payout schedules

We reserve the right to modify commission rates, payout thresholds, and program structure at any time. Your participation in the Affiliate Program does not create an employment, partnership, or agency relationship with Edem AI LLC. You are an independent contractor.

12. Acceptable Use, Prohibited Content, and Blocked Content

You agree not to use the Service to create, request, upload, distribute, or share content that:

• Depicts, promotes, or involves minors in any sexual, suggestive, or exploitative context (zero tolerance)
• Promotes or facilitates non-consensual sexual acts or sexual violence
• Encourages real-world violence, terrorism, self-harm, or suicide
• Constitutes harassment, threats, bullying, or hate speech targeting individuals or groups
• Impersonates real people, including public figures, without consent
• Infringes third-party intellectual property, privacy, or publicity rights
• Distributes malware, engages in phishing, or attempts to compromise the platform's security
• Violates any applicable local, national, or international law

12.1 Absolutely Prohibited Content

The following content is strictly forbidden under all circumstances, regardless of context, intent, or safety level setting:

• Terrorism and extremism — Content promoting, recruiting for, or glorifying terrorist organizations or acts
• Self-harm and suicide — Content encouraging, instructing, or glorifying self-harm, suicide, or eating disorders
• Hate speech — Content attacking individuals or groups based on race, ethnicity, religion, gender, sexual orientation, disability, or national origin
• Doxxing and privacy violations — Sharing personal, private, or identifying information of others without consent
• Illegal activities — Content promoting, facilitating, or providing instructions for illegal activities including drug manufacturing, weapons trafficking, or fraud
• Malware and exploitation — Content designed to phish, distribute malware, or exploit vulnerabilities in the platform or its users
• Spam and deception — Automated or misleading content intended to manipulate, deceive, or defraud users

12.3 Character Creation Restrictions

• All characters must be depicted as adults (18 years or older)
• Characters may not be described or designed to appear younger than 18
• Characters may not be based on real, identifiable individuals without their consent
• Character descriptions, system prompts, and greeting messages must comply with this policy
• Characters designed to promote illegal activity, hate, or violence are prohibited

12.4 Enforcement Actions

When prohibited content is detected, we may take one or more of the following actions:

• Content removal — Immediate deletion of the violating content
• Account warning — Formal notice for minor or first-time violations
• Account suspension — Temporary restriction of account access
• Permanent termination — Immediate and irreversible account ban, with forfeiture of all Coins, subscriptions, and creator earnings
• Law enforcement referral — Reporting to relevant authorities for illegal content (especially CSAM)
• IP and device blocking — Preventing circumvention of bans

13. Community Guidelines

Edem AI is a community of creators and users who enjoy AI-powered entertainment. These guidelines help ensure that everyone has a positive and safe experience on the platform.

13.1 Be Respectful

• Treat fellow users and creators with respect and dignity
• Do not harass, bully, threaten, or intimidate other users
• Do not use hate speech or discriminatory language
• Respect the creative work of character creators

13.2 Chat Behavior

• Remember that AI characters are fictional — do not form unhealthy attachments or mistake AI for real relationships
• Do not attempt to use AI chat to generate content that violates our policies
• Respect the content safety levels and understand that different settings allow different types of content
• Report any AI behavior that seems inappropriate, harmful, or in violation of our policies

13.3 Account Integrity

• Use only one account per person
• Do not share, sell, or trade accounts
• Do not create accounts to evade bans or suspensions
• Do not use automated tools, bots, or scripts to interact with the platform without authorization
• Do not exploit bugs, glitches, or vulnerabilities — report them to us instead

13.4 Creator and Affiliate Conduct

• Do not use misleading, deceptive, or spammy tactics to promote characters or referral links
• Do not artificially inflate engagement metrics (self-referrals, fake interactions)
• Respond to reports about your characters promptly and in good faith

13.5 Reporting Violations

• Report violations by emailing support@edemai.org
• Use the in-app support ticket system for faster resolution
• Include as much detail as possible (usernames, content descriptions, screenshots)
• All reports are reviewed confidentially

13.6 Consequences

Violating these guidelines may result in:

• Warning — A formal notice for minor or first-time violations
• Content removal — Deletion of violating content
• Temporary suspension — Restricted access for a set period
• Permanent ban — Irreversible account termination with loss of all Coins, subscriptions, and creator earnings

Serious violations (CSAM, threats of violence, illegal activity) result in immediate permanent termination and may be reported to law enforcement.

14. Content Removal and DMCA

14.1 Content Eligible for Removal

The following types of content may be removed upon request or proactive review:

• Content that violates these Terms or Section 12 (Prohibited Content)
• Content that infringes intellectual property rights (see Section 14.5 below)
• Content depicting or involving minors in any inappropriate context
• Content that impersonates a real individual without consent
• Content containing personal, private, or identifying information of a third party
• Content that is illegal under applicable law
• Your own generated content or characters that you wish to delete

14.2 How to Request Content Removal

To request content removal, email us at support@edemai.org with:

• Your name and contact information
• A clear description of the content you want removed
• The location of the content (URLs, character names, screenshots, or other identifying details)
• The reason for your removal request and any legal basis
• If applicable, evidence that you are the rights holder or authorized representative

14.3 Removing Your Own Content

• Characters you created — Delete via your creator dashboard
• Generated images and videos — Delete from your generation gallery
• Chat history — Delete individual conversations or your entire history
• Account and all data — Request full account deletion by contacting support

14.4 Review Process and Timeline

• We will acknowledge receipt within 48 hours
• If the request is valid, the content will be removed within 5 business days
• Content involving minors, illegal activity, or imminent harm will be removed immediately

We reserve the right to proactively remove any content that violates our policies, regardless of whether a removal request has been submitted. Appeals may be submitted by emailing support@edemai.org with the subject line "Content Removal Appeal."

14.5 Copyright Infringement (DMCA)

If you believe that content on Edem AI infringes your copyright, you may submit a DMCA takedown notice. Your notice must include:

• A physical or electronic signature of the copyright owner or authorized agent
• Identification of the copyrighted work claimed to have been infringed
• Identification of the infringing material and information sufficient to locate it on our platform
• Your contact information (name, mailing address, telephone number, email address)
• A statement that you have a good-faith belief that the use of the material is not authorized
• A statement, made under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on their behalf

Send all DMCA takedown notices to:

14.6 DMCA Counter-Notification

If you believe your content was removed in error, you may submit a counter-notification that includes:

• Your physical or electronic signature
• Identification of the material removed and its location before removal
• A statement, under penalty of perjury, that you have a good-faith belief the material was removed by mistake
• Your name, address, and telephone number
• A statement consenting to the jurisdiction of the federal court in your district
• A statement that you will accept service of process from the original complainant

Upon receiving a valid counter-notification, we will forward it to the original complainant. If they do not file a court action within 10–14 business days, we may restore the removed material.

14.7 Repeat Infringer Policy

• First offense — Content removal and formal warning
• Second offense — Content removal and account suspension (7 days)
• Third offense — Permanent account termination with forfeiture of all Coins, subscriptions, and creator earnings

Under Section 512(f) of the DMCA, any person who knowingly materially misrepresents that material is infringing, or that material was removed by mistake, may be subject to liability for damages, including costs and attorney's fees.

15. Content Moderation and Safety Levels

Edem AI provides configurable content safety levels to allow users to control the nature of AI interactions:

• Safe — Family-friendly content only
• Moderate — Flirtatious and romantic content permitted
• Open — Adult content allowed (18+ users only)

Regardless of the chosen safety level, all content must comply with Section 12 (Acceptable Use). We reserve the right to moderate, filter, or remove any content at our discretion.

16. Intellectual Property

All platform content, software, designs, branding, trademarks, and underlying technology are the property of Edem AI LLC or its licensors and are protected by intellectual property laws.

• You may not copy, reproduce, distribute, modify, reverse-engineer, or create derivative works from any part of the Service without our prior written consent
• You retain ownership of original content you submit ("User Content"), but grant us a license to use, display, and process it in connection with operating the Service
• User Content must not infringe any third-party rights

17. Service Availability

We strive to maintain reliable access to the Service but do not guarantee uninterrupted or error-free operation. The Service may be modified, suspended, or discontinued at any time, with or without notice, for maintenance, upgrades, legal compliance, or other reasons. We are not liable for any downtime or service interruptions.

18. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that AI-generated content will be accurate, appropriate, safe, or suitable for any purpose. You use the Service entirely at your own risk.

19. Limitation of Liability

To the fullest extent permitted by applicable law, Edem AI LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.

Our total aggregate liability shall not exceed the greater of:

• $100 USD, or
• The total amount you paid to us in the six (6) months preceding the claim

20. Termination

You may stop using the Service and delete your account at any time by contacting us.

We may suspend or terminate your account immediately and without prior notice if you violate these Terms, engage in prohibited conduct, or if required for legal, safety, or operational reasons.

Upon termination, your right to use the Service ceases immediately. Any remaining Coins, subscription time, or other benefits are forfeited and non-refundable, except where required by law.

21. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Edem AI LLC is registered, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.

22. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or a prominent notice on the platform. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms. If you do not agree with the changes, you must stop using the Service.
